Introduction

This Code of Business Conduct (the "Code") sets out the standards of behavior required of all directors, officers, agents and employees whenever they are acting on TISS behalf.

Integrity is TISS core value and the guiding principle for how we approach our work, business relationships, decisions and actions. Integrity means steadfast adherence to a strict moral or ethical code. Here at TISS, we live this value by following our Code of Conduct, doing what we say we are going to do and by always conducting our business according to the highest ethical and legal standards.

Our Code of Business Conduct sets the standard for all TISS employees and outlines the fundamental requirements for how we conduct business. It is not a compilation of company policies and procedures, but provides a practical overview of TISS principles. The Code is the cornerstone of our standards of business conduct, and identifies resources that can assist you in evaluating and answering difficult questions. The values expressed in our Code represent TISS core shared values that transcend geographic boundaries.

WorkplaceSafety

We do not tolerate workplace violence of any kind. To help ensure a safe work environment for all employees, no employee may use or possess weapons, including firearms, at any time while on TISS premises or while conducting business on behalf of TISS. Actions that are intimidating or threatening are also prohibited. Contact your manager if you witness or experience any threatened or actual incidents of violence in the workplace.

Promptly report all accidents, environmental concerns or dangerous situations to your manager or your Human Resources representative.

Harassment

At TISS we do not tolerate harassment of any kind, including sexual or racial harassment, or any other type of behavior that is hostile, disrespectful, abusive and/or humiliating.

Sexual harassment occurs when one person requires another to submit to unwelcome sexual advances as a basis for employment decisions; makes requests for sexual favors; or engages in other unwelcome conduct of a sexual nature. Sexual harassment also occurs when such conduct interferes with an employee's work performance or creates an intimidating, hostile or offensive working environment (such as sending sexually oriented e-mails at work). Although we all have a responsibility to report any incidents of harassment that we witness or experience, managers and supervisors must report to Human Resources all sexual harassment complaints (both formal and informal) that they receive.

Other unacceptable forms of harassment include belittling or humiliating subordinates or co-workers, and making or communicating derogatory comments, insults and jokes that target a certain group (race, gender, religion, etc.).

At TISS we are sensitive to others. What may seem funny or harmless to some people can be hurtful or degrading to others. Be sensitive to how others could perceive your words and actions. Always speak and treat others in a civil, professional manner. Think ahead of time and do not communicate a joke or comment, or take an action which might be viewed as threatening, hurtful, offensive, derogatory or insulting.

Fair Dealing and Marketing Practices

At TISS, we deliver distinctive client value by always dealing fairly with customers, suppliers and competitors. TISS does not take advantage of anyone through manipulation, concealment, abuse of privileged information or misrepresentation of material facts, or by means of any other unfair practice.

We describe TISS's services truthfully and accurately. Never mislead clients through deceptive acts or practices, false advertising claims, or misrepresentations regarding TISS's or competitors' services.

Fair competition in the marketplace is required not only by TISS's ethical standards, but also by the unfair competition and antitrust laws of many countries. We adhere to the following fundamental principles of fair competition:

  • Never accept, offer or provide kickbacks or illegal payments to anyone.
  • Never steer business to a market based on anything other than the client's best interest.
  • Never solicit or accept inflated or fictitious quotes for presentation to a client.
  • Never discuss fees, commissions, or other pricing with competitors.
  • Never discuss or agree with competitors to restrict the types of products or services that will be offered to clients or offered within specific territories.
  • While mutually beneficial business arrangements are appropriate and may be negotiated, never require that a business partner purchase goods or services from TISS as a condition of doing business.

Never disclose inappropriate information to insurers, underwriters or other • business partners during proposals, bid preparations or contract negotiations

Compete fairly and honestly for business. Do not discuss sensitive market information, including prices, territories or strategies, with competitors whether informally or at professional gatherings or business meetings. Never agree to fix prices, divide markets or engage in any other anti-competitive practices and do not facilitate such behavior by anyone else. Doing so may violate antitrust and unfair competition laws. Never use, copy or give confidential or proprietary information to others. If you happen to obtain such information, safeguard it, and contact the TISS Rep or your Local HR immediately.

Communications in proposals, bid preparations and contract negotiations always must be truthful. Make sure all relationships with business partners are conducted professionally and are based on objective criteria, fairness, and the best interests of TISS and its clients.

Confidentiality of Client and Business Partner Information

We deliver distinctive client value through our commitment to respecting our clients' and business partners' privacy, and safeguarding information confidentiality and system security.

Maintain the confidentiality and security of private or sensitive information about clients and business partners. Your knowledge of confidential information about TISS's clients and business partners places you in a special position of trust. Breaching that trust may expose TISS to severe civil and criminal penalties. Maintain that trust by protecting all confidential information.

Conflicts of Interest

Delivering distinctive client value means identifying and managing conflicts of interest and avoiding them as possible. A conflict of interest is any situation where the interests of TISS differ from the interests of the client, or where an employee's personal or financial interests conflict with TISS's, or a client's, interests. If you are unsure whether a given situation creates a conflict of interest, raise the issue with your manager,or TISS Rep

While it is impossible to describe every circumstance where a conflict of interest may arise, the following guidelines will help you avoid conflicts of interest:

  • Always put the client's interests first
  • Never allow your personal or financial interests to interfere with your duty to TISS
  • When it comes to conflicts of interest, appearances do matter
  • When in doubt, ask for clarification

In any dealings with a supplier, customer, government official, or other person or entity, no TISS officer or employee shall request, accept or offer to give any significant thing of value, the purpose or result of which could be to influence the bona fide business relationships between TISS and such persons or entities.

Employees must avoid situations where their personal or family relationships compromise their ability to act in a client's or TISS's best interests. A conflict can occur if an employee's immediate family member is employed in a certain capacity by TISS, by a competitor or by a company that does business with TISS. You must disclose and obtain necessary approvals for any personal or family relationships that result, or may result, in a conflict of interest.

Employees may not work for a competitor or any company that does business with TISS, even on their own time, without first obtaining approval. We avoid conflicts of interest while participating in outside activities. Any employee planning to serve on an outside, for-profit or not-for-profit board must obtain the appropriate approvals.

After joining an outside board, whether for-profit or not-for-profit, an employee must avoid any real or apparent conflict of interest, and ensure that he or she does not obtain personal financial advantage that in fact should belong to TISS.
